Common use of Governing Law; Venue; Jury Trial Waiver Clause in Contracts

Governing Law; Venue; Jury Trial Waiver. This Note will be governed by and construed under the laws of the State of Illinois as those laws apply to contracts entered into and wholly to be performed within that state. Borrowers irrevocably submit to the non-exclusive jurisdiction of the courts of the State of Illinois located in Cook County and the United States District Court for the Northern District of Illinois for the purpose of any suit, action, proceeding or judgment relating to or arising out of this Note and the transactions contemplated hereby. Service of process in connection with any such suit, action or proceeding may be served on each party hereto anywhere in the world by the same methods as are specified for the giving of notices under this Note. Borrowers irrevocably consent to the non-exclusive jurisdiction of any such court in any such suit, action or proceeding and to the laying of venue in the referenced Illinois courts. Borrowers irrevocably waive any objection to the laying of venue of any such suit, action or proceeding brought in such courts and irrevocably waive any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum. EACH BORROWER WAIVES ANY RIGHT TO REQUEST A TRIAL BY JURY IN ANY LITIGATION WITH RESPECT TO THIS NOTE AND REPRESENTS THAT COUNSEL HAS BEEN CONSULTED SPECIFICALLY AS TO THIS WAIVER.

The parties hereby agree and construed under the laws of the State of Illinois as those laws apply to contracts entered into and wholly consent to be performed within that state. Borrowers irrevocably submit subject to the non-exclusive jurisdiction of the courts of the State of Illinois located in Cook County and the United States District Court for the Northern District of Illinois for Illinois, and in the purpose absence of any suitsuch federal jurisdiction, actionthe parties consent to be subject to the exclusive jurisdiction of the state courts located in Chicago, proceeding Illinois, and hereby waive the right to assert the lack of personal or judgment relating to subject matter jurisdiction or arising out of this Note and the transactions contemplated hereby. Service of process improper venue in connection with any such suit, action or other proceeding. In furtherance of the foregoing, each of the parties (a) waives the defense of inconvenient forum, (b) agrees not to commence any suit, action or other proceeding may be served on each party hereto anywhere arising out of this Agreement, any Transaction Document, or any transactions contemplated hereby or thereby other than in the world by the same methods as are specified for the giving of notices under this Note. Borrowers irrevocably consent to the non-exclusive jurisdiction of any such court court, and (c) agrees that a final judgment in any such suit, action or other proceeding shall be conclusive and to the laying of venue may be enforced in the referenced Illinois courts. Borrowers irrevocably waive any objection to the laying of venue of any such suit, action other jurisdictions by suit or proceeding brought in such courts and irrevocably waive any claim that any such suit, action judgment or proceeding brought in any such court has been brought in an inconvenient forumother manner provided by law. EACH BORROWER PARTY HERETO HEREBY IRREVOCABLY WAIVES ANY AND ALL RIGHT TO REQUEST A TRIAL BY JURY IN ANY LITIGATION WITH RESPECT LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THIS NOTE AND REPRESENTS THAT COUNSEL HAS BEEN CONSULTED SPECIFICALLY AS TO THIS WAIVERAGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY.
