Common use of Governing Law; Venue; Attorneys’ Fees Clause in Contracts

Governing Law; Venue; Attorneys’ Fees. This Agreement shall be governed by and construed in accordance with the domestic laws of the State of Florida without giving effect to any choice or conflict of law provision or rule (whether of the State of Florida or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Florida. Each of the parties submits to the exclusive jurisdiction of the U.S. District Court for the Middle District of Florida, Tampa Division, and the Circuit Court in and for Hillsborough County, Florida, as the exclusive proper forum and venue in which to adjudicate any case or controversy arising hereunder. In the event of any dispute, action or proceeding arising out of or relating to this Agreement, including the breach, termination, validity, interpretation, or enforcement of this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party all costs and reasonable attorneys’ fees incurred in connection therewith.
