Governing Law; Severability; Limitation of Liability. (a) This Agreement and all claims arising out of or based upon this Agreement or relating to the subject matter hereof shall be governed by and construed in accordance with the domestic substantive Laws of the State of New York, except to the extent that the matter in question is mandatorily required to be governed by Bermuda Law, in which case, subject to Section 4.10(d), it will be governed by the applicable provisions of such Law.
