Governing Law; Consent to Jurisdiction. This Agreement and any claim, controversy or dispute arising under or related to this Agreement all rights and obligations hereunder shall be governed by by, and construed in accordance with with, the laws law of the State of New York York, applicable to agreements made and to be performed wholly within said State, without regard to the conflicts of laws principles of such State. The parties to this Agreement consent to the jurisdiction of the federal and state courts located in such statethe County of New York, State of New York over the parties hereto and over any disputes arising in connection with this Agreement. Service of process may be made by certified or registered mail, return receipt requested.
