Common use of Governing Law and Counterparts Clause in Contracts

Governing Law and Counterparts. This Agreement shall be construed in accordance with the laws of the State of New York, without regard to the conflicts of law principles of such State (other than Section 5-1401 of the General Obligation Law of the State of New York), except with respect to its authorization and execution by the Republic, which shall be governed by the laws of the Republic of Hungary. This Agreement may be executed in any number of counterparts each of which will be considered to be an original.
