Common use of Governing Documents Clause in Contracts

Governing Documents. The Administrative Agent shall have received copies of the certificate or articles of incorporation and by-laws (or other similar governing documents serving the same purpose) of each Loan Party, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of such Loan Party.

The Administrative Agent shall have received copies of the certificate or articles of incorporation and by-laws (or other similar governing documents serving the same purpose) of Holding and each Loan Party, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of Holding or such Loan Party, as applicable.

The Administrative Agent shall have received copies of any amendments to the certificate or articles of incorporation and by-laws (or other similar governing documents serving the same purpose) of each Loan PartyParty since the Closing Date, in each case certified as of the Closing First Incremental Amendment Effective Date as complete and correct copies thereof by the Secretary or Secretary, an Assistant Secretary or other authorized representative of such Loan PartyParty pursuant to a certificate in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received copies of the certificate or articles of incorporation or formation and by-laws or operating agreement (or other similar governing documents serving the same purpose) of Holdings and each Loan Party, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of Holdings and such Loan Party, as applicable.
