Common use of Good Standing Clause in Contracts

Good Standing. The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

Good Standing. The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization and its good standing in such other jurisdictions as the Representative may reasonably request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

Good Standing. The Representative Representatives shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

Good Standing. The Representative Representatives shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization and its good standing in such other jurisdictions as the Representatives may reasonably request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization organization, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

Good Standing. The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization organization, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

Good Standing. The Representative Representatives shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, no more than two (2) business days prior thereto satisfactory evidence of the good standing of the Company in its jurisdiction of organization Company, in writing or any standard form of telecommunication telecommunication, from the appropriate governmental authorities authority of such jurisdiction.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization incorporation and its good standing in such other jurisdictions as the Representative may reasonably request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and the Sponsor in its jurisdiction their respective jurisdictions of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

Good Standing. The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization incorporation in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

Good Standing. The Representative Representatives shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and the Sponsor in its jurisdiction their respective jurisdictions of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and the Sponsor in its jurisdiction their respective jurisdictions of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

The Representative shall have received on and as of (i) the Effective Closing Date, and (ii) the Closing Date or Representative shall have received on the applicable Option Shares Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and the Subsidiaries in its jurisdiction their respective jurisdictions of organization organization, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.

The Representative shall have received on and as of (i) the Effective Date, and (ii) the Closing Date or the Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company in its jurisdiction of organization in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.. ​

The Representative shall have received on and as of (i) the Effective Date, date hereof and (ii) the Closing Date or and, with respect to the Option Shares, the applicable Option Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and its significant subsidiaries (as such term is defined in its jurisdiction Rule 1-02 of Regulation S-X) in their respective jurisdictions of organization and their good standing as foreign entities in such other jurisdictions as the Representative may reasonably request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictionjurisdictions.
