Generator's Knowledge Clause Samples

The "Generator's Knowledge" clause defines the scope of information or awareness attributed to the party referred to as the Generator within an agreement. Typically, this clause clarifies whether the Generator is deemed to know only facts actually known to specific individuals (such as officers or employees) or if it includes information that should have been known through reasonable inquiry. By specifying the boundaries of the Generator's knowledge, the clause helps allocate risk and responsibility for representations and warranties, ensuring clarity about what the Generator is accountable for in the contract.
