Generally Managed Third Parties. With respect to Managed Third Parties identified on Exhibit 22 as "Generally Managed Third Parties," and any substitute or replacement therefor (each a "Generally Managed Third Party"), Service Provider shall perform the following activities with respect to the management and administration of Third Party Contracts between DIR (and/or the DIR Customers) and such Generally Managed Third Parties, except as modified in Exhibit 22: (i) manage the Managed Third Parties, including monitoring operational day-to-day service delivery, monitoring performance, escalating problems for resolution, and maintaining technical support relationships; (ii) work with DIR, as requested, to manage new and existing contractual relationships between DIR Customers and Managed Third Parties as needed to provide the Services; (iii) oversee Managed Third Party delivery of services and compliance with the Service Levels and the performance standards contained in the DIR Customer agreement with the Managed Third Party; (iv) manage the performance of the Managed Third Party to the service levels or other performance standards contained in the DIR Customer agreement with the Managed Third Party and notify DIR and the Managed Third Party of each Managed Third Party failure to perform such services in accordance the performance standards or other terms and conditions contained in such DIR Customer agreement with the Managed Third Party with or the Service Levels contained in Exhibit 3; (v) escalate Managed Third Party performance failures to Managed Third Party management as necessary to achieve timely resolution; (vi) monitor and manage the Managed Third Party's efforts to remedy a failure of performance; (vii) communicate to DIR the status of the Managed Third Party's efforts to remedy a failure of performance; and (viii) recommend retention, replacement, modification, or termination of a Managed Third Party based on the performance or cost benefits to the DIR Customer(s) as tracked by Service Provider.

  • Unaffiliated Third Parties Nothing herein shall impose any duty upon the Transfer Agent in connection with or make the Transfer Agent liable for the actions or omissions to act of unaffiliated third parties such as, by way of example and not limitation, airborne services, the U.S. mails and telecommunication companies, provided, if the Transfer Agent selected such company, the Transfer Agent shall have exercised due care in selecting the same.

  • Affiliates and Third Parties If the Asset Representations Reviewer processes the PII of the Issuer’s Affiliates or a third party when performing an Asset Review, and if such Affiliate or third party is identified to the Asset Representations Reviewer, such Affiliate or third party is an intended third-party beneficiary of this Section 4.9, and this Agreement is intended to benefit the Affiliate or third party. The Affiliate or third party will be entitled to enforce the PII related terms of this Section 4.9 against the Asset Representations Reviewer as if each were a signatory to this Agreement.

  • Consents of Third Parties No vote, approval or consent of any holder of capital stock of the Company or any other third parties is required or necessary to be obtained by the Company in connection with the authorization, execution, deliver and performance of this Agreement and the other Transaction Documents or in connection with the authorization, issue and sale of the Securities and, upon issuance, the Warrant Shares, except as previously obtained, each of which is in full force and effect.

  • Use of Third Parties Except as may be expressly agreed to in writing by the State Entity, Contractor shall not subcontract, assign, delegate or otherwise permit anyone other than Contractor or Contractor's personnel to perform any of Contractor's obligations under this Contract or any of the work subsequently assigned under this Contract. No subcontract which Contractor enters into with respect to performance of obligations or work assigned under the Contract shall in any way relieve Contractor of any responsibility, obligation or liability under this Contract and for the acts and omissions of all subcontractors, agents, and employees. All restrictions, obligations and responsibilities of the Contractor under the Contract shall also apply to the subcontractors. Any contract with a subcontractor must also preserve the rights of the State Entity. The State Entity shall have the right to request the removal of a subcontractor from the Contract for good cause.
