General Partner Capital Contribution. (a) The General Partner has made contributions to the Partnership and has the Common Units, Preferred Units, Convertible Preferred Units and Series C Preferred Units (if any) as set forth on EXHIBIT A. (b) In the event the General Partner issues Series C Preferred Stock pursuant to the Series C Preferred Stock Purchase Agreement, the General Partner shall contribute to the Partnership the proceeds or consideration received therefor and receive from the Partnership an equal number of Series C Preferred Units, as contemplated by CLAUSE (B) of SUBSECTION (b) of SECTION 4.3.
