General Indemnification Threshold. The Shareholders shall not be entitled to indemnification hereunder until such time as a single Loss or an aggregate of two (2) or more Losses exceeds One Million Dollars ($1,000,000), at which time the Shareholders shall be entitled to indemnification for all Losses sustained, incurred, paid or required to be paid by the Shareholders in excess of One Million Dollars ($1,000,000).
