Each party must do everything reasonably necessary, including by procuring that its Representatives work in good faith and in a timely and co-operative manner with, in the case of the Bidder, Pushpay and its Representatives and, in the case of Pushpay, the Bidder and its Representatives, to implement the Scheme in accordance with this Agreement and all applicable laws.
