General Contractor Changes. It is anticipated that the General Contractor may and in certain circumstances must, by written notice, request a Change. Upon receipt of GEC’s request and any supporting documentation reasonably requested by Owner, then within five (5) Business Days, Owner will notify GEC of its acceptance or rejection of such request. Upon Owner’s approval of such request and agreement on the terms of an associated Change Order, GEC may proceed with the implementation of such Change. If Owner elects not to proceed with any Change requested by Contractor resulting from a Change in Law, the discovery of Hazardous Substances or any article of value or antiquity or of archaeological or geotechnical interest, or any unforeseen or varying Site or other conditions, or event of Force Majeure, Owner shall provide written notification to GEC to stop work; otherwise GEC shall be entitled to continue with the work as changed and pending agreement on the changes to price, schedule and other effected provisions herein, GEC shall be compensated on a negotiated basis. If such change, discovery, condition, event or amendment increases GEC’s cost or liabilities, or materially impacts GEC’s ability to continue its performance hereunder, GEC shall continue to work in other areas while formally raising its concerns on this specific issue, including use of Article 19 hereof. GEC shall have no liability for the consequences of such election not to proceed with such Change if such option is exercised in good faith.
