General Contract Matters. Any notice, demand, request, consent, approval, or communication that either party desires or is required to give to the other party or any other person shall be in writing and may be served personally, sent by certified mail, return receipt requested, or by electronic mail with the date and time embedded in the message header to the respective addresses set forth below. General Contract Matters. With respect to each Contract set forth in Section 3.9.1 of the Companies Disclosure Schedule, to the Knowledge of the Companies, (a) each such Contract is legal, valid, binding, enforceable against any other party to such Contract in accordance with its terms and is in full force and effect; (b) neither the Companies nor any other party to such Contract is, in any material respect, in breach of, or default under, such Contract, and no event has occurred which, with notice or lapse of time, would constitute a breach of or default under such Contract or permit termination, modification, or acceleration of such Contract; (c) neither the Companies nor any other party to such Contract has repudiated any provision of such Contract, and (d) none of the Companies is a party to any verbal Contract which, if reduced to written form, would be required to be listed in Schedule 3.9.1 of the Companies Disclosure Schedule under the terms of Section 3.9.1.
General Contract Matters. With respect to each Contract so listed, except as disclosed in Section 4.10.2 of the Schedule of Exceptions, (i) such Contract is legal, valid, binding, enforceable against Morningstar or its Subsidiary (as applicable), and in full force and effect; (ii) such Contract will continue to be legal, valid, binding, and enforceable against Morningstar or its Subsidiary (as applicable), and in full force and effect on identical terms following the Closing; (iii) neither Morningstar or any of its Subsidiaries, nor to the Knowledge of Morningstar, any other party is in breach or default and, to the Knowledge of Morningstar, no event has occurred which with notice or lapse of time would constitute a breach or default or permit termination, modification, or acceleration, under such Contract; and (iv) neither Morningstar or any of its Subsidiaries, nor to the Knowledge of Morningstar, any other party has repudiated any provision of such Agreement. Except as described in Section 4.10.2 of the Schedule of Exceptions, neither Morningstar nor any of its Subsidiaries is a party to any verbal contract, agreement, or other arrangement which, if reduced to written form, would be required to be listed in Schedule 4.10.2 of the Schedule of Exceptions under the terms of Section 4.10.2.
