GENERAL CONDITIONS TO OBLIGATIONS OF THE PURCHASERS. The obligation of each of the Purchasers to consummate the transactions contemplated herein is subject to the accuracy of the representations and warranties of the Company herein contained, as of the date hereof and as of the Closing Date, and to the performance in all material respects by the Company of its obligations hereunder (including the covenants contained in Article VI of this Agreement).
