General Agent and Broker Dealer, jointly and severally, indemnify and hold harmless The Company, Xxxx Xxxxxxx Distributors LLC, and their respective affiliates, officers, directors, employees and agents against any and all loss, claim, damage, liability or expense (including reasonable attorneys' fees), joint or several, insofar as such loss, claim, damage, liability or expense arises out of or is based upon any breach of this Agreement, any applicable law or regulation, or any applicable rule of any self-regulatory organization, by General Agent, Broker-Dealer or any of the Agents. This indemnification will be in addition to any liability which the General Agent and Broker-Dealer may otherwise have.
General Agent expressly covenants and agrees that after termination of this Agreement, for any reason, he/she shall not for a period of one year thereafter, nor shall he/she assist, encourage or induce others to do, any of the following things: induce, or attempt to induce, any of the Contract owners to whom he/she or any Registered Representative in his/her General Agency was assigned while this Agreement was in effect, to cancel, lapse, or surrender their contracts with LBVIP.
General Agent shall pay to the Company all premium taxes payable for policies subject to reinsurance hereunder. In the event that the ceding fee and premium taxes are not so paid by the General Agent within 60 days following the end of the month, the unpaid balance shall be paid directly to the Company by the Reinsurer.
General Agent. GENERAL AGENT SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS COMPANY, SINGULARLY AND COLLECTIVELY, FROM ANY AND ALL LOSSES, LIABILITIES, ACTIONS, SUITS, DEMANDS, CAUSES OF ACTION, DAMAGES, PENALTIES, FINES, JUDGMENTS AND EXPENSES, INCLUDING ANY AND ALL EXTRA CONTRACTUAL CLAIMS OR LOSSES IN EXCESS OF POLICY LIMITS (ALL SPECIFICALLY INCLUDING BUT NOT LIMITED TO ATTORNEYS’ FEES AND COURT COSTS), (“CLAIMS”) WHICH MAY BE MADE AGAINST COMPANY, SINGULARY OR COLLECTIVELY, AND WHICH ARISE, EITHER DIRECTLY OR INDIRECTLY, OUT OF OR IN CONNECTION WITH: Managing General Agency Agreement Effective July 1, 2006
General Agent and Broker-Dealer shall be responsible for carrying out sales and administrative obligations under this Agreement in continued compliance with applicable federal and state laws. General Agent and Broker-Dealer are not authorized to give any information or make any representations concerning First Golden, the Trust, the Variable Accounts, and the Policies other than those contained in the Policy Prospectus, Policy Registration Statement, Trust Prospectus, Trust Registration Statement, or in such sales literature, advertisements or reports that are both approved and, if required, filed with the NASD by First Golden or Directed Services. (4) General Agent agrees that it shall be fully responsible for ensuring that no person shall offer the Policies on its behalf until such person is duly licensed and appointed by First Golden. (5) General Agent agrees to train, supervise and be solely responsible for the conduct of its agents appointed by First Golden in their solicitation of Applications for the Policies and for the supervision as to their strict compliance with applicable rules and regulations of any governmental or other agencies that have jurisdiction over variable life insurance activities. In addition, General Agent agrees to train, supervise, and be solely responsible for the conduct of its agents as to their strict compliance with First Golden's rules and procedures. (6)
General Agent. Broker-Dealer and Directed Services jointly agree to cooperate fully in any insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Policies marketed under this Agreement. General Agent, Broker-Dealer and Directed Services further agree to cooperate fully in any securities regulatory investigation or proceeding or judicial proceeding arising in connection with the Policies marketed under this Agreement. Without limiting the foregoing: (a) Directed Services will promptly notify General Agent of any customer complaint or notice of any regulatory investigation or proceeding or judicial proceeding received by Directed Services or First Golden with respect to General Agent or any employee of General Agent or which may affect First Golden's issuance of any Policy marketed under this Agreement.
General Agent. Broker-Dealer and Registered Representatives will not furnish any prospective Contract owner with an illustration of the financial or other aspects of a Contract or a proposal for a Contract unless the same has been either furnished by the Insurance Companies or prepared from computer software or other material furnished or approved by the Insurance Companies. Any illustration or proposal will conform to standards of completeness and accuracy established by the Insurance Companies. If the proposal or illustration was not furnished by the Insurance Companies, General Agent or Broker-Dealer ACCOUNTING will retain in its records for availability to the Insurance FOR FUNDS Companies a copy thereof or the means to duplicate the COLLECTED same. Any computer software or materials furnished by either Insurance Company will be and remain its property.

The Contract shall supersede all previous agreements between the General Agent, the Agent, and the Company with respect to policies or coverages, credited to the Agent, whose Home Office Receipt Dates are on or after the Effective Date of the Contract. The parties to the Contract agree that the law of the Commonwealth of Massachusetts shall govern the Contract in all respects. The Contract shall take effect on the __________ day of _____________, 19__ ("the Effective Date").
General Agent in its sole discretion, may register this Agreement under the Personal Property Security Act (Ontario) or any similar legislation in other jurisdictions in Canada. Advisor agrees that General Agent shall not be required to deliver to advisor a copy of financial statement or other security documentation filed by General Agent in any provincial registry in connection therewith.
