Genera. 5.1 The parties will execute and deliver all such further documents and instruments and do all such further acts and things as may be required to carry out the full intent and meaning of this Agreement. 5.2 This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the parties hereto attorn to the jurisdiction of the courts of the Province of British Columbia. 5.3 This Agreement supersedes and replaces any and all previous agreements entered into, directly or indirectly, by the parties hereto in respect of the provisions of services by the Consultant to the Contractor. 5.4 This Agreement may be executed in several counterparts and by facsimile or a signed pdf email, which will be deemed to be an original and all of which will together constitute one and the same instrument. 5.5 The Consultant may not assign this Agreement without the prior written approval of the Contractor.
