GEM LISTING RULES IMPLICATIONS. As the highest applicable percentage ratio for the Company as calculated under RuleRule 19.07 of the GEM Listing Rules in relation to the Factoring Agreements each exceeds 5% but is less than 25%, each of the Factoring Agreements constitutes a discloseable transaction for the Company under the GEM Listing Rules and is subject to the reporting and announcement requirements.
