Common use of Gatherer Service Commitment Clause in Contracts

Gatherer Service Commitment. Gatherer shall conduct all of its activities and operations under this Agreement in a commercially reasonable and timely manner. Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace and expand the Gathering System (including expanding the Gathering System in accordance with Section 3.3) or cause the same to be performed; (b) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Dedicated Gas; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered by or for the account of Producer from the area described on Exhibit I; (d) compress and/or dehydrate Gas received from or on behalf of Producer into the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point; (e) deliver, or cause to be delivered, to or for the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer up to the MRDO; (f) recover Pipeline Drip from the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Point; (g) to construct, install and maintain all necessary facilities on the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMI; and (h) Buyback metering service as detailed in Section 3.10.

Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each Tank Battery that is currently, or any Planned Tank Battery to be, located within [***] as it exists on the date of Producer’s delivery of the Connection Notice with respect to such Tank Battery and that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Committed Saltwater and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed3.3(b)(b); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be receiveddownstream of the separator and production treater, into the Gathering System, from frac pit or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasTank Battery; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Committed Capacity Saltwater tendered by or for the account on behalf of Producer from the area described on Exhibit Iat such Receipt Point; (d) compress and/or dehydrate Gas received from receive, or on behalf of Producer cause to be received, into the Gathering System System, from Producer, at each Receipt Point, all Uncommitted Saltwater, if any, to the System Compressor Stations and Incremental Compression System Compressor Station extent not curtailed in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point6.3; (e) deliverprovide, or cause maintain and operate adequate pumps and equipment to be delivered, create sufficient pressure in the Disposal System to or for transfer all Committed Capacity Saltwater received into the account of Producer, Gathering System from Producer at the nominated Delivery Point, Delivery Point Gas allocated Receipt Points and to Producer up to dispose of all such Saltwater into the MRDODisposal ▇▇▇▇▇; (f) recover Pipeline Drip from dispose of all Saltwater received into the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointthis Agreement; (g) upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to construct, install and maintain all necessary facilities on the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMIdo so in its sole discretion; and (h) Buyback metering service upon request of Producer, receive and dispose of Saltwater delivered directly by Producer or its designee via trucks to any Disposal ▇▇▇▇▇ pursuant to Section 6.4(a). Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.

Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each CDP that is located within [***] miles of the Gathering System as it exists on the date of Producer’s delivery of the Connection Notice with respect to such CDP and that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Saltwater and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3(b) (each such CDP, and each such other CDP that becomes a Required Connection CDP in accordance with Section 3.3) or cause the same to be performed, a “Required Connection CDP”); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from separator and production treater or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Saltwater tendered by or for the account on behalf of Producer from up to the area described Maximum DSU Volume per Day at the Receipt Points on Exhibit Ieach DSU; (d) compress and/or dehydrate Gas received from or on behalf of Producer into to the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station extent required in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to 6.4, collect Dedicated Saltwater by truck and deliver such Dedicated Gas Saltwater to the applicable Delivery Pointrelevant Disposal Facility; (e) deliverreceive, or cause to be deliveredreceived, to or for into the account of Gathering System, from Producer, at the nominated Delivery each Receipt Point, Delivery Point Gas allocated to Producer up all Interruptible Saltwater, if any, to the MRDOextent not curtailed in accordance with Section 6.3; (f) recover Pipeline Drip from provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Disposal System to transfer all Saltwater up to the Maximum DSU Volume per Day received into the Gathering System from Producer at the Receipt Points and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointdispose of all such Saltwater into the Disposal ▇▇▇▇▇; (g) to construct, install and maintain dispose of all necessary facilities on Saltwater received into the Gathering System necessary for or picked up by truck in accordance with this Agreement into the Disposal ▇▇▇▇▇; (h) upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to comply with Article 8 as to each System AMIdo so in its sole discretion; and (hi) Buyback metering service upon request of Producer, receive and dispose of Saltwater into the Disposal ▇▇▇▇▇ produced from the Excluded ▇▇▇▇▇ or other Interruptible Saltwater, in each case delivered by Producer via trucks to such Disposal ▇▇▇▇▇. Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.

Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.

THE REDACTED MATERIAL HAS BEEN SEPARATELY FILED WITH THE SECURITIES AND EXCHANGE COMMISSION, AND THE TERMS HAVE BEEN MARKED AT THE APPROPRIATE PLACE WITH BRACKETS AND THREE ASTERISKS [***] (f) recover Pipeline Drip from provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Disposal System to transfer all Saltwater up to the Maximum DSU Volume per Day received into the Gathering System from Producer at the Receipt Points and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointdispose of all such Saltwater into the Disposal ▇▇▇▇▇; (g) to construct, install and maintain dispose of all necessary facilities on Saltwater received into the Gathering System necessary for Gatherer to comply or picked up by truck in accordance with Article 8 as to each System AMIthis Agreement into the Disposal ▇▇▇▇▇; and (h) Buyback metering service upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to do so in its sole discretion. Subject to and in accordance with the terms and conditions of this Agreement, and following construction and startup of the initial portion of the Gathering System, Gatherer commits to providing the following services (collectively, the “Services”) to ProducerProducer and Shipper: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each CDP that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Crude Oil and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed; (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from separator and production treater or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering System, from or for the account of ProducerShipper, at each Receipt Point, all Gas delivered Crude Oil tendered by or on account of Shipper up to the Maximum DSU Volume per Day at the Receipt Points on each DSU, to the extent not curtailed in accordance with Section 6.3(a); (d) receive, or cause to be received, into the Gathering System, from or for the account of Producer from Shipper, at each Receipt Point, all Crude Oil that is not Dedicated Crude Oil, if any, to the area described on Exhibit I; (d) compress and/or dehydrate Gas received from or on behalf of Producer into the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station extent not curtailed in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point6.3(a); (e) delivertruck any Dedicated Crude Oil, or cause to be delivered, to or for the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer up subject to the MRDOconditions stated in Section 6.4; (f) recover Pipeline Drip from provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Gathering System to transfer all Crude Oil received into the Gathering System, from or on account of Shipper, from the Receipt Points to the Delivery Points in accordance with this Agreement and remit net proceeds pro rata up to Producer and including capacity of the Minimum Delivery Point Volume at each such Delivery Point; and (g) provide truck offloading facilities and storage services in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Point; (g) to construct, install 3.8 and maintain all necessary facilities on Section 3.9. Gatherer shall act as a Reasonable and Prudent Operator in performing the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMI; and (h) Buyback metering service as detailed in Section 3.10Services and any of its other obligations under this Agreement.

Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each CDP that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Saltwater as provided in Section 3.3, including those ▇▇▇▇▇ with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed3.3(b); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from separator and production treater or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Saltwater tendered by or for the account on behalf of Producer from up to the area described Maximum DSU Volume per Day at the Receipt Points on Exhibit Ieach DSU; (d) compress and/or dehydrate Gas received from receive, or on behalf of Producer cause to be received, into the Gathering System System, from Producer, at each Receipt Point, all Interruptible Saltwater, if any, to the System Compressor Stations and Incremental Compression System Compressor Station extent not curtailed in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point6.3; (e) deliverprovide, or cause maintain and operate adequate pumps and equipment to be delivered, create sufficient pressure in the Disposal System to or for the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer transfer all Saltwater up to the MRDOMaximum DSU Volume per Day received into the Gathering System from Producer at the Receipt Points and to dispose of all such Saltwater in accordance with Section 3.1(f) and Section 3.1(i), as applicable; (f) recover Pipeline Drip from to the extent there is capacity in the Disposal ▇▇▇▇▇, dispose of into the Disposal ▇▇▇▇▇ all Saltwater received into the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointthis Agreement; (g) upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to constructdo so in its sole discretion; (h) upon request of Producer, install receive and, to the extent there is capacity in the Disposal ▇▇▇▇▇, dispose of into the Disposal ▇▇▇▇▇ all Saltwater delivered by Producer via trucks pursuant to Section 6.4 and maintain all necessary Gatherer shall provide truck unloading facilities on the Gathering System necessary to Producer for Gatherer to comply with Article 8 as to each System AMIany such Saltwater; and (hi) Buyback metering service upon request of Producer, redeliver any Saltwater contemplated by Section 2.3(d)(ii) to the applicable delivery point or other CDP and/or deliver any Saltwater contemplated by Section 6.6 to the applicable third party delivery point, as detailed applicable, in Section 3.10accordance with the terms of such Sections; provided, that Producer shall pay the Gathering Fee, but not the Disposal Fee, associated with such Saltwater. Notwithstanding the foregoing, Gatherer shall have the right to (i) drill or complete any disposal ▇▇▇▇▇, (ii) enter into any contracts with third parties for the disposal of Saltwater, (iii) provide any Saltwater received at the Receipt Points to third parties for recycling, reuse, treatment, reinjection and/or similar uses, and (iv) determine in its sole discretion which Disposal ▇▇▇▇▇ are utilized for the disposal of Saltwater; provided, however, that Gatherer shall have no obligation under this Agreement to take, or commit to take, any of the actions contemplated by the foregoing clauses (i) through (iv). Gatherer shall act as a Reasonable and Prudent Operator in performing the Services and any of its other obligations under this Agreement.

Gatherer Service Commitment. Gatherer shall conduct all of its activities and operations under this Agreement in a commercially reasonable and timely manner. Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each CDP that is located within [***] miles of the Gathering System as it exists on the date of Producer’s delivery of the Connection Notice with respect to such CDP and that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Saltwater and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3(b) (each such CDP, and each such other CDP that becomes a Required Connection CDP in accordance with Section 3.3) or cause the same to be performed, a “Required Connection CDP”); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from separator and production treater or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Saltwater tendered by or for the account on behalf of Producer from up to the area described Maximum DSU Volume per Day at the Receipt Points on Exhibit Ieach DSU; (d) compress and/or dehydrate Gas received from or on behalf of Producer into to the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station extent required in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to 6.4, collect Dedicated Saltwater by truck and deliver such Dedicated Gas Saltwater to the applicable Delivery Pointrelevant Disposal Facility; (e) deliverreceive, or cause to be deliveredreceived, to or for into the account of Gathering System, from Producer, at the nominated Delivery each Receipt Point, Delivery Point Gas allocated to Producer up all Interruptible Saltwater, if any, to the MRDOextent not curtailed in accordance with Section 6.3; (f) recover Pipeline Drip from provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Disposal System to transfer all Saltwater up to the Maximum DSU Volume per Day received into the Gathering System from Producer at the Receipt Points and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointdispose of all such Saltwater into the Disposal ▇▇▇▇▇; (g) to construct, install and maintain dispose of all necessary facilities on Saltwater received into the Gathering System necessary for Gatherer to comply or picked up by truck in accordance with Article 8 as to each System AMIthis Agreement into the Disposal ▇▇▇▇▇; and (h) Buyback metering service upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to do so in its sole discretion. Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.

Gatherer Service Commitment. Gatherer shall conduct all of its activities and operations under this Agreement in a commercially reasonable and timely manner. Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each Tank Battery that is currently, or any Planned Tank Battery to be, located within [***] as it exists on the date of Producer’s delivery of the Connection Notice with respect to such Tank Battery and that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Committed Saltwater and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed3.3(b)(b); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be receiveddownstream of the separator and production treater, into the Gathering System, from frac pit or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasTank Battery; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Committed Capacity Saltwater tendered by or for the account of Producer from the area described on Exhibit I; (d) compress and/or dehydrate Gas received from or on behalf of Producer at such Receipt Point; CERTAIN INFORMATION IN THIS EXHIBIT HAS BEEN REDACTED BECAUSE CONFIDENTIAL TREATMENT FOR SUCH INFORMATION HAS BEEN REQUESTED. THE REDACTED MATERIAL HAS BEEN SEPARATELY FILED WITH THE SECURITIES AND EXCHANGE COMMISSION, AND THE INFORMATION HAS BEEN MARKED AT THE APPROPRIATE PLACE WITH BRACKETS AND THREE ASTERISKS [***]. (d) receive, or cause to be received, into the Gathering System System, from Producer, at each Receipt Point, all Uncommitted Saltwater, if any, to the System Compressor Stations and Incremental Compression System Compressor Station extent not curtailed in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point6.3; (e) deliverprovide, or cause maintain and operate adequate pumps and equipment to be delivered, create sufficient pressure in the Disposal System to or for transfer all Committed Capacity Saltwater received into the account of Producer, Gathering System from Producer at the nominated Delivery Point, Delivery Point Gas allocated Receipt Points and to Producer up to dispose of all such Saltwater into the MRDODisposal ▇▇▇▇▇; (f) recover Pipeline Drip from dispose of all Saltwater received into the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointthis Agreement; (g) upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to construct, install and maintain all necessary facilities on the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMIdo so in its sole discretion; and (h) Buyback metering service upon request of Producer, receive and dispose of Saltwater delivered directly by Producer or its designee via trucks to any Disposal ▇▇▇▇▇ pursuant to Section 6.4(a). Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.

Gatherer Service Commitment. Gatherer shall conduct all of its activities and operations under this Agreement in a commercially reasonable and timely manner. Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, and following construction and startup of the initial portion of the Gathering System, Gatherer commits to providing provide (or to cause Gatherer’s Designee to provide) the following services (collectively, the “Services”) to ProducerProducer and Shipper: (a) design, own, operate, maintain, repair, replace construct and expand the Gatherer Owned Gathering System (including expanding to connect the Gathering System to each CDP that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Gas and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed; (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from or for the account of Producer, separator and production treater at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering SystemFacilities, from or for the account of ProducerShipper, at each Receipt Point, all Gas delivered tendered by or on account of Shipper up to the Maximum DSU Volume per Day at the Receipt Points on each DSU; (d) receive, or cause to be received, into the Facilities, from or for the account of Producer from Shipper, at each Receipt Point, all Interruptible Gas, if any, to the area described on Exhibit Iextent not curtailed in accordance with Section 7.3(a); (de) compress and/or dehydrate Gas received from or on behalf account of Producer Shipper into the Gathering System at the System Compressor Stations Station(s) and Incremental Compression System Compressor Station in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point; (e) deliverinstall, maintain and operate, or cause to be deliveredinstalled, to or for maintained and operated, the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer up to the MRDOSystem High Pressure Lines associated therewith; (f) recover Pipeline Drip from subject to Section 3.4, dehydrate and process, or cause to be processed, such Dedicated Gas at the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery PointProcessing Plant(s); (g) to construct, install and maintain all necessary facilities on the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMI[omitted]; (h) [omitted]; and (hi) Buyback metering service [omitted]. Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10.performing the Services and any of its other obligations under this Agreement. Gatherer shall comply with the provisions of Exhibit J.

Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer: (a) design, own, operate, maintain, repair, replace construct and expand the Gathering System (including expanding to connect the Gathering System to each CDP that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Saltwater and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3) or cause the same to be performed3.3(b); (b) receiveprovide, maintain and operate Measurement Facilities at or cause to be received, into downstream of the Gathering System, from separator and production treater or for the account of Producer, atmospheric tankage at each Receipt Point, all Dedicated GasCDP; (c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered Saltwater tendered by or for the account on behalf of Producer from up to the area described Maximum DSU Volume per Day at the Receipt Points on Exhibit Ieach DSU; (d) compress and/or dehydrate Gas received from or on behalf of Producer into to the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station extent required in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to 6.4, collect Dedicated Saltwater by truck and deliver such Dedicated Gas Saltwater to the applicable Delivery Pointrelevant Disposal Facility; (e) deliverreceive, or cause to be deliveredreceived, to or for into the account of Gathering System, from Producer, at the nominated Delivery each Receipt Point, Delivery Point Gas allocated to Producer up all Interruptible Saltwater, if any, to the MRDOextent not curtailed in accordance with Section 6.3; (f) recover Pipeline Drip from provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Disposal System to transfer all Saltwater up to the Maximum DSU Volume per Day received into the Gathering System from Producer at the Receipt Points and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Pointdispose of all such Saltwater into the Disposal ▇▇▇▇▇; (g) to construct, install and maintain dispose of all necessary facilities on Saltwater received into the Gathering System necessary for Gatherer to comply or picked up by truck in accordance with Article 8 as to each System AMIthis Agreement into the Disposal ▇▇▇▇▇; and (h) Buyback metering service upon request of Producer, gather and dispose of Excluded Water, if Gatherer agrees to do so in its sole discretion. Gatherer shall act as detailed a Reasonable and Prudent Operator in Section 3.10performing the Services and any of its other obligations under this Agreement.
