Future Origination Points. At such time that the Village determines that it wants the capacity to allow subscribers in the Village to receive PEG Access Programming (video and character generated) which may originate from schools, Village facilities and/or other government facilities other than Village Hall; or at such time that the Village determines that it wants to establish or change a location from which PEG Access Programming is originated; or in the event the Village wants to upgrade the connection to Grantee from an existing signal point of origination, the Village shall give the Grantee written notice detailing the point of origination and the capability sought by the Village. The Grantee agrees to submit a cost estimate to implement the Village’s plan within a reasonable period of time thereafter for the Village’s consideration. The Village may accept or decline ▇▇▇▇▇▇▇’s cost estimate in the Village’s sole discretion. After an agreement to reimburse the Grantee for its expenditure is entered into between the Village and Grantee, the Grantee shall implement any necessary system changes within a reasonable period of time as agreed to by the Village and Grantee.
Future Origination Points. At such time that the City determines that it wants the capacity to allow Subscribers in the City to receive Public, Educational and/or Governmental Access Programming (video and character generated) which may originate from schools, City facilities and/or other government facilities (other than the signal point of origination discussed in Paragraph 8.5.1 of this Agreement); or at such time that the City determines that it wants to establish or change a location from which Public, Educational and/or Governmental Access Programming is originated; or in the event the City wants to upgrade the connection to Comcast from an existing signal point of origination, the City will give Comcast written notice detailing the point of origination and the capability sought by the City. Comcast agrees to submit a cost estimate to implement the City’s plan within a reasonable period of time. After an agreement to reimburse Comcast for its expenditure, Comcast will implement any necessary system changes within a reasonable period of time.

  • Compliance with Contracts and Credit and Collection Policy Such Seller Party will timely and fully (i) perform and comply with all provisions, covenants and other promises required to be observed by it under the Contracts related to the Receivables, and (ii) comply in all respects with the Credit and Collection Policy in regard to each Receivable and the related Contract.

  • Expectations Regarding Advance Notices Within ten (10) days after the commencement of each calendar quarter occurring subsequent to the commencement of the Commitment Period, the Company must notify the Investor, in writing, as to its reasonable expectations as to the dollar amount it intends to raise during such calendar quarter, if any, through the issuance of Advance Notices. Such notification shall constitute only the Company's good faith estimate and shall in no way obligate the Company to raise such amount, or any amount, or otherwise limit its ability to deliver Advance Notices. The failure by the Company to comply with this provision can be cured by the Company's notifying the Investor, in writing, at any time as to its reasonable expectations with respect to the current calendar quarter.

  • Compliance with Credit and Collection Policy Such Seller Party has complied in all material respects with the Credit and Collection Policy with regard to each Receivable and the related Contract, and has not made any material change to such Credit and Collection Policy, except such material change as to which Agent and each Purchaser Agent have been notified in accordance with Section 7.1(a)(vii) and receipt Agent’s and each Purchaser Agent’s consent to the extent referenced therein.

  • Performance and Compliance with Contracts and Credit and Collection Policy The Seller shall (and shall cause the Servicer to), at its expense, timely and fully perform and comply with all material provisions, covenants and other promises required to be observed by it under the Contracts related to the Receivables, and timely and fully comply in all material respects with the applicable Credit and Collection Policies with regard to each Receivable and the related Contract.

  • Modifications to Contracts and Credit and Collection Policy Such Seller Party will not make any change to the Credit and Collection Policy that could adversely affect the collectability of the Receivables or decrease the credit quality of any newly created Receivables. Except as provided in Section 8.2(d), Servicer will not extend, amend or otherwise modify the terms of any Receivable or any Contract related thereto other than in accordance with the Credit and Collection Policy.
