Future Conflicts. In the event that during the term of this Agreement new or formerly unknown facts should become known to University or Company which substantially affect the rights of Company to use Licensed Patents, both parties shall engage in good-faith negotiations regarding an appropriate adjustment of the royalties payable by Company or another appropriate adaptation of this Agreement to the then-given circumstances. This shall not apply if University is able to eliminate the then-existing conflicts. No further rights of Company shall exist in such case.
