Common use of FURTHER UNDERTAKING Clause in Contracts

FURTHER UNDERTAKING. A Party further undertakes: (a) to use the Confidential Information solely for the purpose of fulfilling its obligations under this Agreement; (b) to limit access to Confidential Information to those directors, officers, employees, subcontractors and agents who reasonably require the same in order to ensure the satisfactory performance of its obligations under this Agreement; (c) to inform each of the directors, officers, employees, subcontractors and agents to whom Confidential Information is disclosed of the restrictions as to the use and disclosure of Confidential Information under Clause 30.1 and to use all reasonable endeavours to ensure that all such persons observe such restrictions; and (d) upon receipt of a written request from the other Party and in any event upon completion of the Services or earlier termination of this Agreement, to return to the other Party all documents, papers, computer programs, software or records containing Confidential Information of such other Party.
