Common use of Further Action Evidencing Assignments Clause in Contracts

Further Action Evidencing Assignments. (a) The Servicer agrees that, from time to time, at its expense, it shall cause the Sponsor or Depositor, as the case may be, to, and each of the Sponsor and Depositor agree that it shall, promptly execute and deliver all further instruments and documents, and take all further action, that may be necessary or appropriate, or that the Servicer or the Indenture Trustee may reasonably request, in order to perfect, protect or more fully evidence the transfer of ownership of the Mortgage Loans and other assets in the Trust Estate or to enable the Indenture Trustee, to exercise or enforce any of its rights hereunder. Without limiting the generality of the foregoing, the Servicer, the Sponsor and the Depositor shall, upon the request of the Servicer or the Indenture Trustee execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.

(a) The Master Servicer agrees that, from time to time, at its expense, it shall cause the Sponsor or DepositorSeller, as the case may be, to, and each of the Sponsor and Depositor Seller agree that it shall, promptly execute and deliver all further instruments and documents, and take all further action, that may be necessary or appropriate, or that the Master Servicer or the Indenture Trustee may reasonably request, in order to perfect, protect or more fully evidence the transfer of ownership of the Mortgage Loans and other assets in the Trust Estate or to enable the Indenture Trustee, to exercise or enforce any of its rights hereunder. Without limiting the generality of the foregoing, the Master Servicer, the Sponsor and the Depositor Seller shall, upon the request of the Master Servicer or the Indenture Trustee execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.

(a) The Servicer agrees that, from time to time, at its expense, it shall cause the Sponsor or Depositor, as Unaffiliated Seller (and the case may be, to, and each Depositor on behalf of the Sponsor and Depositor agree itself also agrees that it shall), promptly to execute and deliver all further instruments and documents, and take all further action, that may be necessary or appropriate, or that the Servicer Servicer, the Certificate Insurer, the Collateral Agent or the Indenture Trustee may reasonably request, in order to perfect, protect or more fully evidence the transfer of ownership of the Mortgage Loans and other assets in the Trust Estate Fund or to enable the Indenture Trustee, Trustee to exercise or enforce any of its rights hereunder. Without limiting the generality of the foregoing, the Servicer, the Sponsor Servicer and the Depositor shallwill, upon the request of the Servicer Servicer, the Certificate Insurer, the Collateral Agent or the Indenture Trustee Trustee, execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.

Without limiting the generality of the foregoing, the Servicer, the Sponsor Servicer and the Depositor shallwill, upon the request of the Servicer Servicer, the Trustee or the Indenture Trustee Certificate Insurer execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.

Without limiting the generality of the foregoing, the Servicer, the Sponsor Servicer and the Depositor shallwill, upon the request of the Servicer or Servicer, the Indenture Trustee or the Collateral Agent execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.

Without limiting the generality of the foregoing, the Servicer, the Sponsor Servicer and the Depositor shallwill, upon the request of the Servicer Servicer, the Trustee or the Indenture Trustee Certificate Insurer execute and file (or cause to be executed and filed) such real estate filings, financing or continuation statements, or amendments thereto or assignments thereof, and such other instruments or notices, as may be necessary or appropriate.
