Common use of Fund Disclosure Documents Clause in Contracts

Fund Disclosure Documents. With respect to disclosure of information regarding the Subadviser and the Subadviser’s services under this Agreement, the Subadviser has reviewed, and in the future shall review, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement, or sticker to any of the foregoing), and advertising and sales material relating to each Fund (collectively the “Disclosure Documents”), and represents and warrants that said disclosure in said Disclosure Documents shall contain no untrue statement of any material fact and do not and shall not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

With respect to disclosure of information regarding the Subadviser and the Subadviser’s services under this Agreement, the Subadviser The Sub-Adviser has reviewed, and in the future shall reviewreview if provided by the Adviser, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement, or sticker to any of the foregoing), and advertising and sales material relating to each Fund (collectively the “Disclosure Documents”), and represents and warrants that said disclosure in that, to the best of its knowledge and with respect to it or with respect to its services under the Agreement, said Disclosure Documents provided to it contain or shall contain no untrue statement of any material fact and do not and shall not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

With respect to disclosure of information regarding the Subadviser and the Subadviser’s services under this Agreement, the Subadviser The Sub-Adviser has reviewed, and in the future shall review, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement, or sticker to any of the foregoing), and advertising and sales material relating to each Fund in each case insofar as they are provided to Sub-Adviser and contain information about the Sub-Adviser and its personnel (collectively the “Disclosure Documents”), and represents and warrants that said disclosure information about the Sub-Adviser and its personnel in said Disclosure Documents contain or shall contain no untrue statement of any material fact and do not and shall not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.
