Common use of Fund Disclosure Documents Clause in Contracts

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the portions of the following documents that pertain to the Sub-Adviser and the services provided by the Sub-Adviser hereunder: the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents"). The Sub-Adviser agrees to communicate promptly to the Adviser regarding any information in Disclosure Documents it believes to be incorrect, incomplete or misleading. The Sub-Adviser represents and warrants that, to the extent any portions of the Disclosure Documents have been reviewed, prepared or provided by the Sub-Adviser, such portions of the Disclosure Documents relating to the Sub-Adviser contain or will contain no untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the portions of the following documents that pertain to the Sub-Adviser and the services provided by the Sub-Adviser hereunderhereunder provided such documents are provided by the Adviser and the Adviser allows seven business days for the Sub-Adviser to review: the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents"). The If requested by the Adviser with respect to Disclosure Documents requiring urgent or expedited review, the Sub-Adviser agrees to communicate promptly to work with the Adviser regarding any information in Disclosure Documents it believes to be incorrect, incomplete or misleadingprovide such review within less than seven business days. The Sub-Adviser represents and warrants that, that such it will use best efforts to the extent any portions of the Disclosure Documents have been reviewed, prepared or provided by the Sub-Adviser, such ensure that portions of the Disclosure Documents relating to the Sub-Adviser contain or will contain no untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

The Sub-Adviser ) and represents and warrants that, solely with respect to the extent any portions of the disclosure in such Disclosure Documents have been reviewed, prepared or provided by about the Sub-Adviser, such portions of the Disclosure Documents manner in which the Sub-Adviser manages the Assets and information relating directly or indirectly to the Sub-Adviser contain (the "Sub-Adviser Disclosure"), that such Disclosure Documents do not or will not contain no any untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

The Sub-Adviser agrees to communicate promptly to the Adviser regarding any information in Disclosure Documents it believes to be incorrect, incomplete or misleading. The Sub-Adviser represents and warrants that, to the extent any portions of the Disclosure Documents have been reviewed, prepared or provided by the Sub-Adviser, that such portions of the Disclosure Documents relating to the Sub-Adviser, to the extent revised to reflect any comments thereon provided by the Sub-Adviser and not otherwise revised, contain or will contain contain, as of the date that the Sub-Adviser provides any comments thereon, no untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

The Sub-Adviser has reviewed and will in the future review, review and assist the Adviser in the preparation of the portions of the following documents that pertain to the Sub-Adviser and the services provided by the Sub-Adviser hereunder: the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents"). The Sub-Adviser agrees to communicate promptly to the Adviser regarding any information in Disclosure Documents it believes to be incorrect, incomplete or misleading. The Sub-Adviser represents and warrants that, to the extent any portions of the Disclosure Documents have been reviewed, prepared or provided by the Sub-Adviser, that such portions of the Disclosure Documents relating as reviewed and approved (such approval to be given in writing, which shall include email) by the Sub-Adviser contain or will contain no untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading. The Sub-Adviser agrees to respond to any request for approval of Disclosure Documents on a prompt and timely basis.
