Function, Duties and responsibilities. 1.1 The State of the operator1 assumes, concerning the Aircraft, all the responsibilities otherwise falling on the State of Registry as far as defined in the ICAO-Chicago convention article 12 (Rules of the Air) and its Annex 6 and 8, and Commission Regulation (EU) No 965/2012. This includes the issuance of exemptions from these applicable regulations. For the sake of clarity, the responsibility of the ▇▇▇ (Minimum Equipment List) of the Aircraft is included in the responsibilities transferred to State of operator. 1.2 The State of registry assumes, concerning the Aircraft, all the rest of the responsibilities falling on the State of registry defined as such in the ICAO-Chicago convention articles 30 (Aircraft Radio Licence), 31 (Certificate of Airworthiness), 32 (a) (Licences of Personnel) and its Annex 6 and 8. More specifically: 1.2.1 Pursuant to article 30 of the Convention of Chicago, the Aircraft Radio Station License is delivered by the State of registry. 1.2.2 Pursuant to article 31 of the Convention of Chicago and in accordance with the provisions of Regulation (EU) 1321/20142 and paragraphs M.1.1 and M.1.4 of Part M and in accordance with the Commission Regulation (EU) No 965/2012 and all amendments thereto, the State of registry retains the following functions, duties and responsibilities, concerning the aircraft: (a) Approval of the Maintenance Programme of the Aircraft, as well as all revisions and deviations thereto; (b) Oversight of modifications and repairs, including interior installation and emergency and safety equipment, as the Competent Authority for Part-M M.1.§1; (c) Issuance of exemptions from applicable regulations regarding continuing airworthiness;

This includes the issuance of exemptions from these applicable regulations. In the case of exemptions the State of Registry has to be notified. For the sake of clarity, the responsibility of the ▇▇▇ (Minimum Equipment List) of the aircraft is included in the responsibilities transferred to State of the Operator.
Function, Duties and responsibilities. Neither the Trust Board nor any member shall be liable for any duties or obligations except for the performance of such duties and obligations as are specifically set forth herein, and no implied covenants or obligations shall be read into this Litigation Trust Agreement. (c) In addition, the Trustee shall be required to obtain the consent of a majority of the Trust Board’s members before taking, or refraining from taking, action with regard to certain matters (each a “Major Decision”) as follows: (i) Approval of the Trustee’s proposed monthly plan and budget, which shall be submitted by the Trustee reasonably in advance of the meeting at which it will be considered, and which shall be prepared in accordance with Section 7. 9(d) below. (ii) Any proposed disposition of Position Holder Trust Assets involving monetary sums exceeding $250,000. (iii) Any proposed distribution to Position Holder Trust Beneficiaries on account of their interests; provided, however, that all of the Distributable Cash generated by the Position Holder Trust Assets during each calendar year shall be distributed to the Position Holder Trust Beneficiaries as required by Section 3.3 hereof. (iv) Any proposed agreement (excluding any document in connection with the Plan) involving a Trust commitment or obligation exceeding or reasonably expected to exceed $250,000. (v) Any proposal to amend the Trust Agreement, the Plan, the Servicing Agreement or the Confirmation Order. (vi) Any promissory note to be issued by the Position Holder Trust for borrowing an amount in excess of $100,000; provided however, that this shall not apply to any promissory note or other evidence of indebtedness to be issued pursuant to authority granted under the ...
Function, Duties and responsibilities. The Company hereby employs and appoints the Employee as Head of Engineering of the Weight-Watchers group (WW Group), which includes, WW International, Inc. (WWI). At this time the Employee has been designated as the successor for the role of Chief Technology Officer and will assume the role when it becomes vacant. At which time, the Employee’s compensation and remuneration will remain the same as listed below. In addition, the Employee acknowledges that he may be requested to join the board of directors of one or more companies of the WW Group which comprises the Company and its majority owned subsidiaries. Any such appointment shall be without additional remuneration and shall be included in the salary pursuant to Article 5.1 of this Employment Agreement. The Employee's duties and responsibilities are those set forth in the employment in the applicable Regulations of the board of directors as periodically amended and the directives periodically issued by the Company and/or by WWI. The Employee's responsibilities shall further be those commonly associated with the Employee's position and those duties periodically assigned to the Employee by the Company and/of by WWI. WWI reserves its right to move this Employment Agreement to an affiliate of WWI in or outside of Switzerland.
