Full Disclosure; No Material Misstatements. No report, financial statement, other written information or other information transmitted orally during a formal presentation, furnished by or on behalf of any Borrower to the Administrative Agent or any Lender pursuant to this Agreement or in connection with the arrangement, syndication and closing of the credit facilities established hereby, other than information of a general economic or industry-specific nature, contains or will contain any material misstatement of fact or omits or will omit to state any material fact necessary to make the statements therein, in the light of the circumstances under which they were or will be made, not misleading (except that as to any projections or other forward-looking information, the Company represents only that such information has been or will be prepared in good faith based on assumptions believed to be reasonable at the time made, it being understood that such projections and other forward-looking information are not to be viewed as factual and are not a guarantee of future performance, and that actual results may differ materially from projected results).
