Fulfillment of Covenants. Each Buyer shall have performed and complied in all material respects with all covenants and obligations set forth in this Agreement to be so performed or complied with by it at or prior to the Closing, and each Buyer shall deliver to Sellers a certificate so stating, dated as of the Closing Date and executed by the President or any Vice President of such Buyer.
