FSIS Service. For a period of five years from the Closing Date, ------------ provided that either FSIS or Purchaser may terminate such access on 12 months notice to the other given anytime (but only after December 31, 1999 as to notice by FSIS), the Stockholders shall cause FSIS to provide such number of terminals for access to FSIS's services by the Company's editors as the Company shall request for a monthly fee equal to $370 for the first terminal at a site and $210 for each additional terminal at the same site, with such monthly fees adjusted effective each January 1 for increases in the Consumer Price Index--All Urban Wage Earners for the entire United States during the prior calendar year. In addition to such monthly fee, the Company shall reimburse FSIS for all fees charged by exchanges in regard to such service to the Company.
