Fri. FRI is executing this Agreement as a Seller and in its capacity as the operator of the Assets to perform the covenants of FRI as the operator of the Assets as set forth in (i) Sections 3.1 and 3.2, (ii) Article 6, (iii) Article 8, (iv) Section 11.2, (v) Section 12.3, (vi) Article 13, and (vii) Section 15.20. For purposes of this Agreement, any breach by FRI of any of the covenants of FRI as set forth in this Section 15.19 shall be deemed to be a breach by Seller of such covenants, as if such covenants were the covenants of Seller (and they shall be deemed to be for purposes hereof), and any liability relating to such breach by FRI shall be borne by Seller, according to the proportions set forth in Section 15.18. It is acknowledged that FRI shall have no personal liability for monetary damages associated with a breach of such covenants by FRI (and it is further acknowledged and agreed that (i) Seller shall be solely liable with regard thereto, as described in the immediately preceding sentence, and (ii) to the extent that Buyer does elect to pursue claims for monetary damages based on, or relating, to a breach of covenants by FRI under this Agreement, Buyer agrees that it shall pursue indemnification from Seller with regard thereto under Section 14.4, as described above); provided, however, that notwithstanding the above, in lieu of pursuing indemnification for monetary damages in connection with a breach of covenants by FRI (as described above), Buyer shall be entitled to obtain injunctive or other equitable relief against FRI without the necessity of posting a bond, as Buyer’s sole and exclusive remedy against FRI, to restrain any breach or threatened breach or to otherwise to specifically enforce the covenants of FRI under this Agreement, it being agreed that monetary damages alone would be inadequate to compensate Buyer and would be an inadequate remedy for such breach.

  • Setup Merchant will be solely responsible for the installation of such Equipment and any alterations necessary for such installation. Processor will not be liable for any delay or incompletion of an installation of Equipment. Merchant will be responsible for maintaining and paying for electrical power and a secured phone line or other secure internet connection to be used solely by the Equipment to communicate with Processor.

  • DNSSEC Registry Operator shall sign its TLD zone files implementing Domain Name System Security Extensions (“DNSSEC”). During the Term, Registry Operator shall comply with RFCs 4033, 4034, 4035, 4509 and their successors, and follow the best practices described in RFC 4641 and its successors. If Registry Operator implements Hashed Authenticated Denial of Existence for DNS Security Extensions, it shall comply with RFC 5155 and its successors. Registry Operator shall accept public-­‐key material from child domain names in a secure manner according to industry best practices. Registry shall also publish in its website the DNSSEC Practice Statements (DPS) describing critical security controls and procedures for key material storage, access and usage for its own keys and secure acceptance of registrants’ public-­‐key material. Registry Operator shall publish its DPS following the format described in XXX 0000.

  • Image Quality You are responsible for the image quality of any Image that you transmit. If an Image that we receive from you or for deposit to your Account is not of sufficient quality to satisfy our image quality standards as we may establish them from time to time, we may reject the Image without prior notice to you. Each Image must include the front and back of the Item and the following information must be clearly readable: amount, payee name, drawer signature, date, check number, account number, routing and transit number, MICR (Magnetic Ink Character Recognition) line, and any endorsement or other information written on the check.

  • ANALYSIS AND MONITORING The Custodian shall (a) provide the Fund (or its duly-authorized investment manager or investment adviser) with an analysis of the custody risks associated with maintaining assets with the Eligible Securities Depositories set forth on Schedule B hereto in accordance with section (a)(1)(i)(A) of Rule 17f-7, and (b) monitor such risks on a continuing basis, and promptly notify the Fund (or its duly-authorized investment manager or investment adviser) of any material change in such risks, in accordance with section (a)(1)(i)(B) of Rule 17f-7.

Ilmu Hukum Fakultas Hukum Universitas Batanghari Jambi. kosong yang tersedia sudah semakin sedikit xxx tidak pula memiliki tanah sendiri. Dikarenakan tanah sendiri tidak ada atau sangat kecil sedangkan kebutuhan untuk usaha sangat besar, maka diperlukan pihak xxxx xxxx memiliki lahan tanah yang luas untuk menggunakan tanahnya. Pihak yang membutuhkan lahan tanah yang luas untuk usahanya tidak hanya orang perorangan melainkan juga suatu badan usaha. Salah satu badan usaha yang memerlukan lahan tanah yang cukup luas untuk usahanya di kabupaten Muaro Jambi adalah PT. Era Sakti Wiraforestama. Perusahaan ini membutuhkan lahan tanah yang luas guna usaha perkebunan kelapa sawit. Dari usaha yang dilakukan, akhirnya PT. Era Sakti Wiraforestama mendapatkan lahan tanah yang diinginkannya dengan menggunakan tanah xxxxx masyarakat kecamatan Xxxx Xxxx. Penggunaan tanah masyarakat adat Xxxx Xxxx untuk keperluan usaha perkebunan PT. Era Sakti Wiraforestama bukanlah terjadi dengan sendirinya xxx penguasaan semena-mena, melainkan diawali dengan suatu perjanjian kepada xxxxx masyarakat pemilik tanah tersebut. Perjanjian yang diadakan antara PT. Era Sakti Wiraforestama dengan masyarakat adat Xxxx Xxxx adalah perjanjian penggunaan tanah untuk keperluan usaha, yang dituangkan dalam surat perjanjian. Dalam perjanjian yang diadakan, ditentukan xxx xxx kewajiban masing-masing pihak, umumnya hak dari pihak PT. Era Sakti Wiraforestama dapat menggunakan tanah milik masyrakat adat untuk kegiatan usaha perkebunannya hingga jangka waktu yang ditentukan dengan kewajiban membayar sejumlah harga dari hasil perkebunan yang dilakukan xxx mengembalikan pengelolaan tanah tersebut kepada xxxxx masyarakat adat pada saat berakhirnya jangka waktu perjanjian. Sedangkan hak masyarakat adat selaku pemilik tanah selain mendapatkan bagian hasil perkebunan juga mendapatkan tanahnya kembali setelah berakhirnya perjanjian. Dikarenakan penggunaan tanah untuk usaha perkebunan memakan waktu yang cukup lama, maka banyak terjadi perubahan- perubahan dalam pelaksanaan perjanjian yang kadangkala tidak diketahui oleh pihak xxxxx masyarakat, sehingga merugikan xxxxx masyarakat itu sendiri. Dengan terjadinya perubahan-perubahan dalam pelaksanaan perjanjian tanpa diketahui oleh pihak xxxxx masyarakat adat Xxxx Xxxx, timbulah berbagai permasalahan berupa :
