Common use of Free from Material Defects Clause in Contracts

Free from Material Defects. To the knowledge of Partner Company and Partner Company Stockholder and except for Subject Partner Company Proprietary Assets that are licensed from a third party, (i) each Subject Partner Company Proprietary Asset is free from material defects and conforms in all material respects with all written specifications, documentation, performance standards, representations or statements made or provided with respect thereto by a Subject Partner Company, (ii) there has not been any claim by any customer or other person alleging that any Subject Partner Company Proprietary Asset (including each version thereof that has never been licensed or otherwise made available by a Subject Partner Company to any person) does not conform in all material respects with any written specification, documentation, performance standard, representation or statement made or provided by a Subject Partner Company, and (iii) there is no valid basis for any such claim.
