Each Receivable was originated (i) by Triad, (ii) by a Dealer and was sold by the Dealer to Triad, or (iii) by a Third-Party Lender and was sold by the Third-Party Lender to Triad, and was transferred by Triad to the Depositor and by the Depositor to the Issuer without any fraud or misrepresentation on the part of Triad, the Depositor, such Dealer or Third-Party Lender in any case.
