Common use of Fractional Ordinary Share Clause in Contracts

Fractional Ordinary Share. If Physical Settlement or Combination Settlement applies to a Note and the Issuer’s Exchange Obligation with respect to such Note includes any fractional Ordinary Share, in lieu of delivering such fractional Ordinary Share, the Issuer will pay the exchanging Holder, (A) if Physical Settlement applies to such Note, an amount of cash equal to the product of (x) such fraction of an Ordinary Share and (y) the Daily VWAP on the applicable Exchange Date (or, if such Exchange Date is not a VWAP Trading Day, the immediately preceding VWAP Trading Day), and, (B) if Combination Settlement applies to such Note, an amount of cash equal to the product of (x) such fraction of an Ordinary Share and (y) the Daily VWAP on the last VWAP Trading Day of the applicable Observation Period.
