Foundation, Per Sample Clauses

Foundation, Per. Se and Dona▇▇▇▇▇, ▇▇fkin & Jenr▇▇▇▇ ("▇LJ") shall have entered into an agreement (the "Take-Down Agreement"), in substantially the form attached hereto as Exhibit D, pursuant to which DLJ shall assist Foundation in the sale of Shares and the Take-Down Agreement shall be in full force and effect.
