Formation; Term. The Company was formed upon the filing of the Certificate of Formation of the Company on June 4, 2002 with the Secretary of State of the State of Delaware. The term of the Company commenced on the date of the filing of the Certificate of Formation in accordance with the Act and shall continue in perpetuity, unless sooner dissolved, wound up and terminated in accordance with Section 8.2.
