Formation of Spanish Subsidiaries. Each of the Spanish subsidiaries of the Partnership listed on a schedule to such counsel’s opinion (the “Spanish Subsidiaries”) was duly incorporated and is validly existing as private limited liability company (Sociedad de responsabilidad limitada) under the laws of Spain. Each of the Spanish Subsidiaries has corporate power to own or lease its properties and to conduct its business, in each case in all material respects as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus.
