Formation; Foreign Qualification. Pursuant to the provisions of the Act, the Company was formed by filing the Certificate of Organization with the Secretary of State of the State of Delaware on [ ], 2014. The Manager shall register the Company and/or its subsidiaries to do business in such other jurisdictions as is necessary to qualify the Company and/or its subsidiaries to conduct their respective businesses in such other jurisdictions.
