Formation; Effectiveness. Royal Street has been formed as a limited liability company under the provisions of the Act by the filing of the Certificate of Formation with the Secretary of State of the State of Delaware. Pursuant to Section 18-201(d) of the Act, this Agreement is effective as of November 24, 2004 (the “Effective Date”).
