Form of Option. The text of the Option and of the form of election to purchase Shares shall be substantially as set forth in Exhibit A attached hereto. The Option shall be executed on behalf of the Company by its President or other authorized officer, under its corporate seal reproduced thereon, and attested by its Secretary or an Assistant Secretary. An Option bearing the signature of an individual who was at the time of execution hereof the proper officer of the Company shall bind the Company, notwithstanding that such individual shall have ceased to hold such office prior to the delivery of such Option. The Option shall be dated as of the date of signature thereof by the Company either upon initial issuance or upon division, exchange, substitution or transfer.
