Form of Certificates; Book-Entry System; Transferability of Shares Sample Clauses
This clause defines how shares of a company are represented, recorded, and transferred. It specifies whether shares are issued in physical certificate form or maintained electronically through a book-entry system, and outlines the procedures for transferring ownership between parties. For example, it may state that all shares will be uncertificated and tracked via a central electronic register, or describe the process for issuing replacement certificates if needed. The core function of this clause is to ensure clarity and efficiency in the management and transfer of share ownership, reducing administrative burdens and minimizing the risk of lost or fraudulent certificates.
