Foreign Corrupt Practices. (a) Neither the Company, nor any director, officer, agent, employee or other Person acting on behalf of the Company has, in the course of its actions (a) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (c) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended or (d) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

Foreign Corrupt Practices. (a) Neither the Company, nor any Company Subsidiary nor, to the knowledge of the Company, any director, officer, agent, employee or other Person person acting on behalf of the Company hasor any Company Subsidiary, in the course of its actions has (ai) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (bii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate fundsemployee, or (ciii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended, or (d) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

(a) Neither the Company nor, to the knowledge of the Company, nor any director, officer, agent, employee agent or other Person person acting on behalf of the Company has, in the course of its actions for, or on behalf of, the Company: (ai) directly or indirectly used any corporate funds for any unlawful contributioncontributions, giftgifts, entertainment or other unlawful expenses relating related to political activity, (bii) made any direct or indirect unlawful payment to foreign or domestic government officials or employees or to any foreign or domestic government official political parties or employee campaigns from corporate funds, (c) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended or (diii) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official, such foreign official or employeeemployee or (iv) violated in any material respect any provision of the Foreign Corrupt Practices Act of 1977, as amended, or any applicable non-U.S. anti-bribery Law.

(a) Neither the Company, Moneytech nor any director, officer, agent, employee or other Person acting on behalf of the Company person has, in the course of its actions for, or acting on behalf of, Moneytech (ai) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, ; (bii) made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, ; (ciii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended; or (div) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

(a) Neither To the knowledge of the Company, neither the Company, nor any director, officer, agent, employee or other Person acting on behalf of the Company hasCompany, has in the course of its actions (a) for, or on behalf of, the Company, used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) ; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (c) ; violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended; or (d) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

Foreign Corrupt Practices. (a) Neither the Company, Sellers nor any shareholder, director, officer, agentemployee, employee agent or other Person person acting on behalf of the Company Seller has, in the course of his, her or its actions (a) for, or on behalf of Sellers, used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) ; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (c) ; violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended, or (d) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

Foreign Corrupt Practices. (a) Neither the Company, Obligated Parties nor any director, officer, agent, employee or other Person person acting on behalf of the Company hasObligated Parties have, in the course of its their actions (a) for, or on behalf of, the Obligated Parties, used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) ; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (c) ; violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended ; or (d) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

(a) Neither the Company, nor any of its subsidiaries, nor any director, officer, agent, employee or other Person person acting on behalf of the Company or any subsidiary has, in the course of its his actions (a) for, or on behalf of, the Company, used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) ; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (c) ; violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended ; or (d) made any unlawful bribe, rebate, ; payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.

(a) Neither the Company, Company nor any director, officer, agent, employee or other Person person acting on behalf of the Company has, in the course of its actions for, or on behalf of, the Company, (a) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity, (b) ; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, (cb) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended, or (dc) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any foreign or domestic government official or employee.
