Common use of Foreign Corrupt Practices Act of 1977 Clause in Contracts

Foreign Corrupt Practices Act of 1977. None of the Obligors nor any director, officer, agent, employee or other person associated with or acting on behalf of the Obligors, has used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; violated or is in violation of any provision of the Foreign Corrupt Practices Act of 1977 or any comparable Applicable Law; or made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment.

None Neither the Company nor any of the Obligors its subsidiaries, nor any director, officer, agent, employee or other person associated with or acting on behalf of the ObligorsCompany or any of its subsidiaries, has used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; , violated or is in violation of any provision of the Foreign Corrupt Practices Act of 1977 or any comparable Applicable Law1977; or made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment, except for payments or violations that, individually or in the aggregate, would not reasonably be expected to result in a Material Adverse Effect.
