Foothill. Foothill is (i) the purchaser and remains the holder of that -------- Series A Secured Note in the original principal amount of $10,357,328 and (ii) the party in interest as "Purchaser" under the related Supplemented Note Purchase Agreement, and in such capacity Foothill is authorized to extend consents, waivers, and amendments with respect to its Supplemented Note Purchase Agreement as set forth herein.

Foothill. Seller shall (a) have obtained a Consent and -------- Waiver of Foothill in form reasonably satisfactory to Purchaser consenting to the transactions contemplated hereby or (b) pay all amounts outstanding under the Foothill Loan Documents with a portion of the Purchase Price concurrently with the Closing, in either case: (i) releasing the Acquired Companies from any and all obligations under the Foothill Loan Documents and (ii) releasing all Liens in respect of the assets or Stock of the Acquired Companies created pursuant to the Foothill Loan Documents.
Foothill. As of the date of this Security Agreement, Foothill is the only creditor to which Debtor has granted a blanket lien in substantially all of the Collateral.

  • Asset Management Supplier will: i) maintain an asset inventory of all media and equipment where Accenture Data is stored. Access to such media and equipment will be restricted to authorized Personnel; ii) classify Accenture Data so that it is properly identified and access to it is appropriately restricted; iii) maintain an acceptable use policy with restrictions on printing Accenture Data and procedures for appropriately disposing of printed materials that contain Accenture Data when such data is no longer needed under the Agreement; iv) maintain an appropriate approval process whereby Supplier’s approval is required prior to its Personnel storing Accenture Data on portable devices, remotely accessing Accenture Data, or processing such data outside of Supplier facilities. If remote access is approved, Personnel will use multi-factor authentication, which may include the use of smart cards with certificates, One Time Password (OTP) tokens, and biometrics.

  • Fortis Benefits represents that it believes, in good faith, that the Separate Account is a “segregated asset account” and that interests in the Separate Account are offered exclusively through the purchase of or transfer into a “variable contract,” within the meaning of such terms under Section 817(h) of the Code and the regulations thereunder.
