FMC Liability Sample Clauses

FMC Liability. FMC and each FMC Affiliate shall be responsible for one hundred percent (100%) of any and all Tax-Related Losses that are attributable to, or result from, any act or failure to act described in Section 10.1(a)(2) of this Agreement by FMC or any FMC Affiliate. FMC and each FMC Affiliate shall jointly and severally indemnify Subsidiary, each Subsidiary Affiliate and their directors, officers and employees and hold them harmless from and against any such Taxes.
