The 'Flow Cells' clause defines the specifications, usage, and handling requirements for flow cells, which are specialized devices or consumables used in laboratory or sequencing processes. Flow Cells. Flow Cells are leased, not sold, and made available hereunder for use by Customer in conjunction with the Devices. Customer shall return to Oxford, using the prepaid packaging provided by Oxford, the Flow Cells as soon as reasonably possible and not longer than sixty (60) days) after use, expiration of the Useful Life of the Flow Cells, or termination of this Agreement (whichever is sooner) in good condition (ordinary wear and tear excepted), except that Customer shall not return Contaminated Flow Cells to Oxford, and instead shall provide Oxford proof of legal and appropriate destruction of Contaminated Flow Cells. Oxford reserves the right to recover from Customer the then current price of an individual Flow Cell, or individual pack of Flow Cells if a single Flow Cell is not offered by Oxford, for any Flow Cell not returned (excepting any Contaminated Flow Cells for which proof of legal and appropriate destruction has been provided to Oxford). Customer shall keep the Flow Cell in Customer’s possession at the Delivery Location until Customer returns the Flow Cell to Oxford or destroys the Flow Cell in accordance with Oxford’s instructions. Customer shall not sell, distribute, or transfer the Flow Cell to any third party.

Flow Cells delivered in a Starter Pack/Project Pack are leased, while Flow Cells delivered in a CapEx purchase are sold. Title to Flow Cells delivered and sold in a CapEx purchase shall transfer back to Oxford upon their return. Oxford reserves the right to recover from Customer the then current price of an individual Flow Cell, or individual pack of Flow Cells if a single Flow Cell is not offered by Oxford, for any Flow Cell not returned (excepting any Contaminated Flow Cells for which proof of legal and appropriate destruction has been provided to Oxford (or its designee)).   • Low Census Low census is defined as a decline in patient care requirements resulting in a temporary staff decrease. During temporary periods of low census, the Employer will 1. Send home Agency nurses. 2. Cancel Overtime shifts. 3. Cancel incentive shifts. 4. Ask for volunteers. 5. Cancel reserve nurses. 6. Cancel part-time nurses working above their assigned FTE.

  • Loop Provisioning Involving Integrated Digital Loop Carriers 2.6.1 Where Freedom has requested an Unbundled Loop and BellSouth uses IDLC systems to provide the local service to the End User and BellSouth has a suitable alternate facility available, BellSouth will make such alternative facilities available to Freedom. If a suitable alternative facility is not available, then to the extent it is technically feasible, BellSouth will implement one of the following alternative arrangements for Freedom (e.g. hairpinning): 1. Roll the circuit(s) from the IDLC to any spare copper that exists to the customer premises. 2. Roll the circuit(s) from the IDLC to an existing DLC that is not integrated. 3. If capacity exists, provide "side-door" porting through the switch. 4. If capacity exists, provide "Digital Access Cross Connect System (DACS)- door" porting (if the IDLC routes through a DACS prior to integration into the switch). 2.6.2 Arrangements 3 and 4 above require the use of a designed circuit. Therefore, non- designed Loops such as the SL1 voice grade and UCL-ND may not be ordered in these cases. 2.6.3 If no alternate facility is available, and upon request from Freedom, and if agreed to by both Parties, BellSouth may utilize its Special Construction (SC) process to determine the additional costs required to provision facilities. Freedom will then have the option of paying the one-time SC rates to place the Loop.

  • Follow-up Testing An employee shall submit to unscheduled follow-up drug and/or alcohol testing if, within the previous 24-month period, the employee voluntarily disclosed drug or alcohol problems, entered into or completed a rehabilitation program for drug or alcohol abuse, failed or refused a preappointment drug test, or was disciplined for violating the provisions of this Agreement and Employer work rules. The Employer may require an employee who is subject to follow-up testing to submit to no more than six unscheduled drug or alcohol tests within any 12 month period.

  • Network Interconnection Methods 3.1 The Interconnection provided herein may not be used solely for the purpose of originating a Party’s own interexchange traffic.

  • Network Interconnection Architecture Each Party will plan, design, construct and maintain the facilities within their respective systems as are necessary and proper for the provision of traffic covered by this Agreement. These facilities include but are not limited to, a sufficient number of trunks to the point of interconnection with the tandem company, and sufficient interoffice and interexchange facilities and trunks between its own central offices to adequately handle traffic between all central offices within the service areas at a P.01 grade of service or better. The provisioning and engineering of such services and facilities will comply with generally accepted industry methods and practices, and will observe the rules and regulations of the lawfully established tariffs applicable to the services provided.
