Fines - Without limiting Sample Clauses

Fines - Without limiting the generality of any other provision in this Agreement, COMPANY shall reimburse GRANTEE for any fine ultimately imposed on GRANTEE by USCBP as the result of any act or omission of COMPANY under this Agreement. In the event any such fine is imposed or if GRANTEE is informed that any such fine is contemplated, GRANTEE shall promptly notify COMPANY in writing and shall provide COMPANY the opportunity to defend against such fine.
