Common use of Final Term Sheet Clause in Contracts

Final Term Sheet. The Company will prepare a pricing term sheet (the “Pricing Term Sheet”) reflecting the final terms of the Offered Securities, substantially in the form set forth in Schedule B hereto and otherwise in form and substance satisfactory to the Representatives, and shall file such Pricing Term Sheet as an “issuer free writing prospectus” pursuant to Rule 433 prior to the close of business on the business day following the date of this Agreement provided that the Company shall furnish the Representatives with copies of any such Pricing Term Sheet a reasonable amount of time prior to such proposed filing and will not use or file any such document to which the Representatives or counsel to the Underwriters shall reasonably object.

Final Term Sheet. The At the request of the Representatives, the Company will prepare a pricing final term sheet (the “Pricing Final Term Sheet”) reflecting the final terms of the Offered SecuritiesStock, substantially in the form set forth in Schedule B hereto and otherwise in form and substance satisfactory to the Representatives, and shall file such Pricing Final Term Sheet as an “issuer free writing prospectus” Issuer Free Writing Prospectus pursuant to Rule 433 of the Rules and Regulations prior to the close of business on the two (2) business day following days after the date of this Agreement hereof; provided that the Company shall furnish provide the Representatives with copies of on any such Pricing Final Term Sheet within a reasonable amount of time prior to such proposed filing and will not use or file any such document to which the Representatives or counsel to the Underwriters shall reasonably object.
