Final/Conclusive Clause Samples
A Final/Conclusive clause establishes that certain decisions, findings, or determinations made under the contract are binding and not subject to further dispute or appeal. Typically, this clause applies to decisions made by an appointed expert, arbitrator, or a designated party regarding specific matters such as measurements, valuations, or certifications. Its core practical function is to provide certainty and finality in the resolution of particular issues, thereby preventing prolonged disagreements and ensuring the contract can proceed without unnecessary delays.
Final/Conclusive. The measurements, estimates, and computations of Owner as to quantities and amount of Work done, will in all cases be accepted by the Parties as final and conclusive unless Subcontractor negotiates these items directly with Owner and Owner approves the same and notifies Contractor.
