Common use of Final and Binding Agreement Clause in Contracts

Final and Binding Agreement. The Employee agrees and recognizes that this Agreement is final and binding when the attached Release of Claims signed by the Employee, subject only to the Employee’s revocation right as described in Paragraph 11 above and to the Merger being completed. In the event the Merger Agreement is terminated for any reason, this Agreement shall automatically become null and void.
