Common use of Filing of Prospectuses Clause in Contracts

Filing of Prospectuses. The Company has filed or will file each Statutory Prospectus (including the Final Prospectus), in a form approved by the Underwriters, pursuant to and in accordance with Rule 424(b) not later than the second business day following the earlier of the date it is first used or the execution and delivery of this Agreement. The Company will advise the Underwriters promptly of any such filing pursuant to Rule 424(b) and provide satisfactory evidence to the Underwriters of such timely filing. The Company has complied and will comply with Rule 433.

The Company has filed or will file each Statutory Prospectus (including the Final Prospectus), in a form reasonably approved by the Underwriters, with the Commission pursuant to and to, in accordance with and within the time periods specified in, Rule 424(b) not later than the second business day following the earlier of the date it is first used or the execution and delivery of this Agreement). The Company will advise the Underwriters promptly of any such filing pursuant to Rule 424(b) and provide satisfactory evidence to the Underwriters of such timely filing. The Company has complied and will comply with Rule 433433 of the Securities Act Regulations.
